Scope and Contents
The Records of the Stockholders and Board of Directors series consists of annual meeting files, minute books and other corporate documentation for MCI Communications Corporation, Board of Directors files, minute books and other corporate documentation for MCI’s subsidiaries and absorbed companies, and records of the Corporate Secretary containing documentation on mergers and acquisitions. It is arranged into five subseries: Annual meeting files; Minute books and other corporate documentation for MCI Communications Corporation; Board files; Minute books and other corporate documentation for subsidiary and absorbed companies; and Records of the corporate secretary. The Annual meeting files mainly consist of materials collected by the Corporate Secretary’s Office in preparation for the annual meeting of stockholders. Typically these include information regarding accommodations, transportation logistics and event planning; briefing books with various summary information on corporate business, finances, operations and strategy including Equal Employment Opportunities information prepared for response to potential shareholder questions; scripts for executives speeches; shareholder correspondence and comments from proxy cards. Records from 1995 document an increasing concern with shareholder proposals on corporate governance, including a proposal by the International Brotherhood of Teamsters that the positions of Chairman of the Board of Directors and CEO should be held by different people and a proposal by an “Ethical Fund,” United States Trust Company of Boston, that the corporation report EEO compliance and other information regarding ethnic and gender diversity. Extensive correspondence with the Securities and Exchange Commission and legal precedent research documents MCI’s successful attempts to exclude these proposals from inclusion on its proxy statements. The subseries also includes transcripts of meetings. The Board files collects “board books” or materials collected by the secretary’s office in preparation for board meetings. These files typically contain minutes of previous meetings, selected financial reports, presentations from various departments and business units, analysts’ reports, clippings and articles, press releases and newsletters. Files also include proposals and updates on new ventures and memoranda and correspondence relating to selection and nomination of Directors. The Minute books and other corporate documentation for subsidiary and absorbed companies consists of minute books and includes legal files and stock ledgers. The Records of the Corporate Secretary contains documentation of mergers and acquisitions including British Telecommunications plc, Chordiant Software Inc., Darome Teleconferencing, Inc., MCI Mid-Continent Communications Inc., Nationwide Cellular Service, Inc., SHL Systemhouse, Inc., Telecom*USA, Inc.,WUI, Inc., and WorldCom, Inc.; Joint Ventures including those with Banamex, The News Corporation Limited, Compania Telefonica Nacional de Espana. Also included are bank credit agreements, prospectuses for stock and bond offerings and corporate seals. Credit agreement folders generally include agreements between MCI Communications Corporation or subsidiaries and banks, underwriters and other financial institutions for credit, loan and various types of stock issue related arrangements; amendments to agreements; board resolutions in these regards; correspondence between subscribing parties; and financial statements of various kinds. Bank reports folders include consolidation monthly financial statements with notes to results, operating and lease reports, capital expenditure reports and schedules of covenants, guarantees, and commitments. Prospectuses folders include preliminary and final offering prospectuses and supplements for a variety of share, warrant, debenture, and other types of offering and issues, including employee purchase and stock option plan related issues.
